These Vendor Terms & Conditions ("Terms") establish the agreement between Fur Elise Pets, LLC, doing business as Elise Galleria ("we," "us," or "our") and you, the Vendor ("you," "your," or "Seller"). By registering as a Seller and listing products on the Elise Galleria platform ("Platform"), you agree to abide by these Terms.
1.1 The following terms shall have the meanings assigned to them:
1.1.1 Commission – The agreed percentage of the product’s retail price (as set by the Vendor) that is retained by Elise Galleria as compensation for facilitating the sale.
1.1.2 Margin – Shopify Collective’s internal term for the retailer’s commission. Used interchangeably with “commission” in this agreement for clarity.
1.1.3 Confidential Information – Non-public information shared between the parties, including pricing, customer data, and trade secrets.
1.1.4 Customer – Any individual or entity that purchases products listed on the Platform.
1.1.5 Order – A confirmed purchase of one or more Vendor products through the Platform.
1.1.6 Product – Any item listed by the Vendor on the Platform for sale.
1.1.7 Active Selling – A Vendor is considered actively selling if they maintain store engagement through order fulfillment, updated product listings, or participation in promotions and collaborations.
2.1 Vendors must accept an invitation to connect their Shopify store to Elise Galleria via Shopify Collective, and must ensure all business information within their store, including payout and tax details, is accurate and up to date.
2.2 Elise Galleria reserves the right to approve or deny Vendor participation at its sole discretion, including the selection fo products to be listed on the Platform.
2.3 Vendors are responsible for complying with all applicable local, national, and international business, tax, and trade regulations relevant to their operations.

3.2 Elise Galleria reserves the right to remove listings that violate these Terms.
3.3 Competing Products & Fair Competition
3.3.1 Vendors may list their products alongside competitors, but Elise Galleria reserves the right to limit or restrict listings of products that directly compete with Elise Galleria-branded products.
3.3.2 If a product is deemed directly competitive, Elise Galleria may request modifications, removal, or adjustments to maintain marketplace balance.
3.3.3 Vendors must adhere to fair market practices and must not engage in:
4.1 Vendor Pricing
4.1.1 Vendors set their own product prices on Elise Galleria.
4.1.2 Vendors must ensure pricing aligns with their brand positioning and luxury marketplace standards.
4.2 Discounts
4.2.1 Vendors may run discounts at their discretion by adjusting pricing in their Shopify store. Elise Galleria may also offer platform-wide promotions from time to time, which will be funded entirely by Elise Galleria and do not require vendor pricing changes.
4.3 Inventory Expectations
4.3.1 Vendors offering discounts or participating in promotional campaigns are expected to maintain sufficient inventory to meet potential demand and avoid fulfillment delays.
5.1 Commission
5.1.1 Elise Galleria retains an agreed commission on all Vendor sales made through the Platform. Commission terms will be communicated in writing and confirmed prior to listing.
5.2 Payouts
5.2.1 Vendor payouts are automatically processed through Shopify Collective. Vendors receive the retail price of each sale minus the agreed commission.
5.2.2 All payment processing is managed by Shopify, and payouts are issued according to Shopify’s payout schedule. Vendors are responsible for keeping their Shopify payment settings and banking details accurate to avoid any delays.
5.3 VAT & Tax Compliance
5.3.1 Shopify may collect and remit sales tax on behalf of the Vendor depending on the customer’s location and applicable laws. However, Vendors are ultimately responsible for ensuring compliance with any tax registration, reporting, and remittance obligations in their own jurisdiction.
5.3.2 All product prices must include any applicable VAT or sales tax where required.
6.1 Order Fulfillment
6.1.1 Vendors must fulfill all orders in a timely and professional manner. Orders placed through Elise Galleria are automatically synced to the Vendor’s Shopify store via Shopify Collective.
6.2 Order Confirmation & Tracking
6.2.1 Vendors are expected to fulfill and ship orders within their normal Shopify processing window. Tracking information must be added directly to the order within the Vendor’s Shopify dashboard, which will sync back to Elise Galleria.
6.3 Delays & Inventory Management
6.3.1 If an order cannot be fulfilled due to stock issues or other delays, the Vendor must notify Elise Galleria immediately. Vendors are responsible for maintaining accurate inventory levels in their Shopify store to avoid overselling.
6.4 Cancellations
6.4.1 Orders should only be canceled under exceptional circumstances. In such cases, the Vendor must notify Elise Galleria and ensure the cancellation is reflected in Shopify. Elise Galleria reserves the right to cancel orders on the Vendor’s behalf if fulfillment does not occur within a reasonable timeframe.
7.1 Fulfillment Timeline
7.1.1 Vendors must ship all orders within 2–4 business days of order confirmation via their Shopify store.
7.2 Tracking Requirements
7.2.1 Tracking information must be added to the order in Shopify within 24 hours of shipment. This information will automatically sync to Elise Galleria and be shared with the customer.
7.3 Shipping Policy
7.3.1 Elise Galleria offers flat-rate and free shipping options to customers. Vendors agree to honor these rates when fulfilling orders:
7.4 Packaging & Delivery
7.4.1 Vendors are responsible for safe, presentable packaging and ensuring timely delivery of all products.
7.5 International Shipping
7.5.1 Vendors are encouraged — but not required — to ship international orders Delivered Duty Paid (DDP) to ensure a smooth customer experience and reduce customs-related issues.
8.1 Return Policy
8.1.1 Customers may request a return within 14 days of delivery through the Elise Galleria Return Portal. Once a return is approved, the request will automatically sync to the Vendor’s Shopify dashboard.
8.1.2 Vendors are required to upload a prepaid return shipping label within 2 business days, confirm receipt of the returned item once delivered, and ensure returned items are unused, in original condition, and include all tags and packaging.
8.1.3 Refunds will be issued to the customer’s original payment method once the Vendor marks the return as received.
8.2 Exchanges
8.2.1 Elise Galleria does not support exchanges. All approved returns are processed as refunds.
8.3 Non-Returnable Items
8.3.1 Vendors may designate products as non-returnable due to their nature, hygiene concerns, perishability, or other logical reasons. Examples include poo bags (hygiene-related), candles (flammable items), treats (consumable items), and custom-made products.
8.3.2 Vendors must clearly state non-returnable items in product descriptions.
9.1 Vendor Rights
9.1.1 Vendors retain ownership of their trademarks, logos, images, and branding.
9.2 Platform Usage
9.2.1 By listing products on Elise Galleria, Vendors grant a non-exclusive, royalty-free license to use their branding for marketing and promotional purposes.
9.3 Restrictions
9.3.1 Vendors may not use Elise Galleria’s branding, trademarks, or proprietary materials without prior written approval.
10.1 Compliance
10.1.1 Vendors must comply with all applicable data protection laws, including but not limited to General Data Protection Regulation (GDPR) and California Consumer Privacy Act (CCPA).
10.2 Customer Data Usage
10.2.1 Vendors may only use Customer data for fulfilling orders.
10.2.2 Marketing use of Customer data is strictly prohibited unless explicitly authorized by Elise Galleria.
10.3 Data Security & Breach Notification
10.3.1 Vendors must implement appropriate security measures to protect Customer data.
10.3.2 Any data breaches must be reported to Elise Galleria within 24 hours.
10.4 Confidentiality
10.4.1 Vendors must not disclose proprietary information about Elise Galleria, including commission structures, customer data, or internal processes.
11.1 Restricted Listings
11.1.1 Vendors may not list or sell products that violate intellectual property rights or are counterfeit, are illegal, unsafe, or non-compliant with applicable regulations, or are explicitly prohibited by Elise Galleria policies.
11.2 Enforcement
11.2.1 Elise Galleria reserves the right to remove prohibited listings immediately and suspend or terminate non-compliant Vendors.
12.1 Vendor Responsibility
12.1.1 Vendors must respond to Customer complaints within 48 hours.
12.2 Dispute Resolution
12.2.1 If a dispute cannot be resolved between the Vendor and the Customer, Elise Galleria reserves the right to mediate the dispute and determine the final resolution based on available evidence.
13.1 Vendor Responsibility
13.1.1 Vendors are responsible for ensuring the quality, legality, and safety of their products.
13.2 Indemnification
13.2.1 Vendors agree to indemnify and hold Elise Galleria harmless from claims, damages, or legal actions arising from their products, and third-party disputes related to their business operations.
13.3 Limitation of Liability
13.3.1 Elise Galleria’s liability is limited to the commission earned on Vendor sales in the preceding 12 months.
14.1 Grounds for Termination
14.1.1 Elise Galleria may suspend or terminate a Vendor's participation immediately for:
14.1.2 If termination is initiated by Elise Galleria, the Vendor will be removed from the Platform via Shopify Collective.
14.2 Vendor-Initiated Termination
14.2.1 Vendors may end their participation at any time by disconnecting from Elise Galleria through their Shopify Collective settings.
14.2.2 To ensure a smooth transition, Vendors are encouraged to provide Elise Galleria with at least 7 days’ written notice before disconnecting.
15.1 Vendor Responsibility
15.1.1 Vendors are fully responsible for resolving claims, disputes, or allegations related to their products, including intellectual property infringement, product liability, and regulatory compliance violations.
15.2 Elise Galleria’s Rights
15.2.1 Elise Galleria is not liable for any claims arising from a Vendor’s products. However, Elise Galleria reserves the right to cooperate with authorities or claimants in cases involving illegal, unsafe, or non-compliant products, temporarily or permanently remove product listings subject to legal action, and suspend a Vendor’s account if the dispute poses significant legal or reputational risks to the Platform.
16.1 Platform Limitations
16.1.1 Elise Galleria makes no guarantees or warranties, express or implied, regarding the volume of sales, visibility, or success a Vendor will achieve through the Platform and the performance, security, or uptime of the Platform.
16.2 As-Is Provision
16.2.1 The Platform is provided "as is" and "as available", without warranty of any kind. Vendors acknowledge that Elise Galleria is not responsible for technical issues, data loss, or disruptions that may affect their store or sales.
17.1 Policy Updates
17.1.1 Elise Galleria reserves the right to amend these Terms & Conditions at any time. Any changes will be communicated via email or other forms of communication.
17.2 Vendor Rights
17.2.1 Continued participation in Elise Galleria via Shopify Collective after an update constitutes acceptance of the revised Terms.
17.2.2 If a Vendor does not agree to the changes, they may request clarification from Elise Galleria or disconnect from Elise Galleria at any time through Shopify Collective settings. Vendors are encouraged to notify Elise Galleria in writing prior to disconnection.
18.1 Product Compliance
18.1.1 Elise Galleria reserves the right to inspect product listings to ensure compliance with marketplace standards.
18.2 Non-Compliance Actions
18.2.1 If a product is found to be misrepresented or non-compliant, Elise Galleria may request updates or documentation from the Vendor, temporarily delist the product, or permanently remove the product if violations persist.
18.3 Repeated Violations
18.3.1 Vendors that repeatedly list misleading, unsafe, or poor-quality products may receive a formal warning, have their listing privileges restricted, and face account suspension or termination.
19.1 Neither party shall be liable for delays caused by events beyond their reasonable control, including but not limited to:
20.1 Legal Jurisdiction
20.1.1 These Terms are governed by U.S. law.
20.2 Dispute Resolution
20.2.1 Any disputes shall be subject to the exclusive jurisdiction of the courts in Ohio and Illinois.
